These Terms of Use (“Terms”) govern your access to and use of FarmAllegiance.com, The Farm Ledger, Farm Allegiance newsletters, forms, directories, farm listings, communications, digital properties, and related services offered by Farm Allegiance LLC (collectively, the “Service”).
The Service is operated by Farm Allegiance LLC (“Farm Allegiance,” “we,” “us,” or “our”).
Please read these Terms carefully. They explain Farm Allegiance’s role, the responsibilities of independent farms and other third parties, the rules governing farm submissions, intellectual-property rights, disclaimers, and other conditions governing your use of the Service.
By accessing or using the Service, subscribing to The Farm Ledger, joining a launch list, submitting farm or business information, submitting content, or otherwise using a portion of the Service that references these Terms, you agree to these Terms.
If you do not agree, do not use the Service.
Farm Allegiance publishes The Farm Ledger, a recurring local guide designed to make it easier for families to discover independent farms and see what those farms may have available.
Farm Allegiance is a media, discovery, curation, and information company. We are generally not the farm, producer, seller, processor, distributor, payment processor, delivery company, inspector, laboratory, or certifying organization.
Farms remain independent businesses responsible for their own products, prices, claims, inventory, food safety, labeling, transactions, fulfillment, customer service, and legal compliance.
Farm information may be submitted directly by farms or obtained from other appropriate sources. Unless we specifically say a particular fact has been independently verified by Farm Allegiance, farm-related claims should generally be understood as information provided by or attributed to the relevant farm or source.
Farm Allegiance is currently free. As of the Effective Date, Farm Allegiance does not charge families to join the launch list or receive The Farm Ledger and does not charge farms to submit their information or join the Founding Farm list. Farm Allegiance is not currently collecting affiliate commissions, sponsorship fees, paid-placement fees, listing fees, or transaction fees through the Service.
We may introduce paid products, advertising, sponsorships, affiliate relationships, or other revenue models in the future. If we do, they will apply prospectively and material commercial relationships will be disclosed as required.

The Farm Ledger is designed to help families see what farms in or around their area may have available and learn where and how to purchase directly from those farms.
Depending on the information available, Farm Allegiance may display or publish:
Farm Allegiance may organize this information by ZIP code, geographic area, community, region, category, season, product type, or other editorial criteria.
Farm Allegiance and The Farm Ledger are in development and may launch community by community.
We do not guarantee that:
References to features that are “coming soon,” planned, proposed, beta, or in development are not promises that those features will launch.
We may change the format, frequency, geographic coverage, design, features, editorial approach, or availability of The Farm Ledger as the Service develops.
As of the Effective Date:
Participation today does not guarantee that every Farm Allegiance service will remain free forever.
Farm Allegiance may introduce, among other things:
Any future fee charged directly by Farm Allegiance will be disclosed before the user or farm becomes obligated to pay it.
Farm Allegiance will not retroactively charge a farm merely because the farm previously submitted information to a free Farm Allegiance program.
If Farm Allegiance receives compensation that creates a material commercial relationship associated with content or a recommendation, we intend to provide disclosures as required by applicable law.
Unless Farm Allegiance expressly states otherwise for a specific transaction, Farm Allegiance LLC is not the seller of products appearing through the Service.

Farm Allegiance may establish standards or criteria for which farms, businesses, products, or information we choose to feature.

Unless Farm Allegiance expressly states otherwise regarding a particular fact, a farm’s inclusion does not mean Farm Allegiance has:

A product appearing in The Farm Ledger does not guarantee:

Independent farms and sellers are responsible for food products they produce, process, package, label, market, sell, distribute, or deliver.
Farm Allegiance does not independently test every product featured through the Service.

Farm Allegiance does not diagnose, treat, prevent, or cure medical conditions.

A participating farm should notify Farm Allegiance when it becomes aware that material published information is no longer accurate.
Farm Allegiance may provide tools or procedures for requesting updates.
We may also correct, annotate, hide, or remove information we reasonably believe is outdated, inaccurate, misleading, unlawful, unsafe, or inconsistent with our editorial standards.
Farms remain responsible for their own prices and inventory.
If a farm submits a price, product, quantity, promotion, or availability statement, the farm represents that the information was accurate to the best of its knowledge when submitted.
The farm should not submit intentionally false “sale” prices, misleading scarcity claims, fake discounts, or unavailable products for the purpose of attracting customers.
A farm submitting a certification or regulated claim represents that it has a reasonable basis for making that claim and any required documentation or authorization.
Farm Allegiance may ask for supporting documentation.
Farm Allegiance may decline to publish a claim if we believe additional substantiation is appropriate.
When you submit a farm or business, Farm Allegiance may use the business contact information you provide to communicate with you about:
You may opt out of marketing communications as permitted by applicable law, although Farm Allegiance may still send non-promotional communications reasonably necessary to administer an active submission or business relationship.
A farm may submit photographs, videos, logos, trademarks, product descriptions, testimonials, written material, business information, or other content (“Submitted Content”).
You retain whatever ownership rights you lawfully hold in your Submitted Content.
By submitting it, you represent that:

We may retain limited suppression information necessary to honor an unsubscribe request.

Normal indexing by generally recognized public search engines for search-result purposes is permitted subject to our technical controls.
Except for third-party and submitted materials, Farm Allegiance LLC owns or licenses the intellectual property comprising the Service, including as applicable:
These materials may be protected by copyright, trademark, and other laws.
You may not commercially reproduce or exploit Farm Allegiance intellectual property without permission except where applicable law allows the use.
Farm Allegiance, The Farm Ledger, associated logos, slogans, trade dress, and other brand identifiers may constitute trademarks or service marks of Farm Allegiance LLC to the extent legal rights exist.
Names, logos, photographs, and trademarks belonging to farms and other third parties remain the property of their respective owners.
Nothing in these Terms grants a farm permission to falsely represent that Farm Allegiance guarantees, certifies, owns, or operates that farm.
Farm Allegiance respects intellectual-property rights.
If you believe content appearing through the Service infringes your copyright or other intellectual-property rights, contact us with information reasonably sufficient to identify:
Farm Allegiance may restrict or remove content while reviewing a good-faith complaint.

The Privacy Policy should be reviewed together with these Terms.
Farm Allegiance is an evolving service.
We may add, modify, suspend, or discontinue:

Nothing in these Terms eliminates a protection that applicable law does not permit us to waive.
Your decision to visit, contact, purchase from, or consume products offered by an independent farm or third party is your own.
To the maximum extent permitted by law, Farm Allegiance is not responsible for independent third-party:

Because Farm Allegiance currently provides the relevant Service without charge, the $100 alternative is intended to apply where no direct payment was made.
Nothing in these Terms limits liability that applicable law does not permit to be limited.
To the extent permitted by law, if you submit content or information on behalf of a farm, producer, business, advertiser, or other commercial entity, you agree to defend, indemnify, and hold harmless Farm Allegiance LLC and its members, managers, officers, employees, contractors, representatives, and agents from third-party claims, liabilities, damages, judgments, penalties, and reasonable legal expenses arising from:
This provision applies only to the extent permitted by applicable law.
Nothing in this section requires an ordinary consumer to indemnify Farm Allegiance where such an obligation would be prohibited or unenforceable.
Farm Allegiance may restrict, suspend, decline, or remove a listing, submission, account, or access where we reasonably believe doing so is appropriate because of:
Removal from Farm Allegiance does not prevent an independent farm from operating its own business.
Farm Allegiance may update these Terms as the Service, technology, legal requirements, or business model changes.
The Last Updated date will identify the latest version.
Where the law or nature of a change requires additional notice or renewed agreement, Farm Allegiance may provide that notice through the website, email, an account, or another reasonable method.
Material changes will apply prospectively as required by law.
Before filing a lawsuit, you and Farm Allegiance agree, where reasonable and legally permitted, to attempt in good faith to resolve the issue informally.
A dispute notice should include:
The parties should ordinarily allow approximately 30 days after receipt of a complete notice to attempt resolution unless urgent circumstances or a legal deadline reasonably requires faster action.
Nothing in this section prevents legally necessary emergency relief or the exercise of nonwaivable rights.

The remaining provisions will continue in effect.
Farm Allegiance’s failure to enforce a provision on one occasion does not waive the right to enforce that provision later.
These Terms, together with any additional terms expressly accepted for a particular Farm Allegiance service, constitute the agreement governing use of the covered Service.

If a separately signed agreement between Farm Allegiance and a farm or other business expressly states that it controls over these Terms on a specific subject, that agreement controls on that subject.
